Organiser terms
In short: you run your event and own your relationship with your attendees. We turn your tickets into Apple Wallet and Google Wallet passes, deliver them, update them and help you check them at the door. Money from ticket sales goes straight to you through Paystack or Flutterwave; we never hold it. You must be allowed to issue the tickets you create, and you must treat your attendees' data properly.
1. Who these terms are with
These terms are between you (the organiser, or the business you sign up for) and Afro Gems Limited, a company registered in England and Wales (company number 17537423), registered office 4 Montrose Street, Hull, HU8 7RX ("AfroGems", "we", "us"). Payment, SMS and USSD services in Nigeria are provided by our sister company Afro Gems Limited (Nigeria). By creating an organiser account you agree to these terms, our privacy policy and the ticket terms that apply to your attendees.
2. The beta
AfroGems is in beta. We are working hard to make it reliable, but features may change and there may be interruptions. Please keep your own copy of your attendee lists, and tell us straight away if anything looks wrong.
3. Your account
- You must be 18 or over and able to enter into contracts on behalf of the business you register.
- The details you give us must be true and kept up to date.
- Keep your sign-in details and door-staff PINs private. You are responsible for what happens under your account and for the staff you invite to scan tickets.
- We review the first event of every new organiser before its passes go live. We may ask for proof of identity, business registration or your right to run the event.
4. Your authority to issue tickets
For every event you confirm that you are the organiser, or that the organiser has authorised you to issue passes for it, and that the tickets are genuine. We record each confirmation with the date and time. Google and Apple require this, and we may remove passes or suspend accounts where it isn't true.
5. What you may not do
- Issue tickets for events that are illegal, unsafe, misleading or that you have no right to sell.
- Use passes or updates for spam, advertising unrelated to the ticket, or messages that are offensive, threatening or discriminatory.
- Upload attendee data you did not collect lawfully, or use AfroGems to contact people who have not got a ticket from you.
- Copy, resell or reverse-engineer the service, or try to get around its limits or security.
- Use the AfroGems, Apple or Google names or logos in ways that suggest they endorse your event.
6. Updates and notifications
You can send updates to passes, such as a time change or a venue message. Google and Apple limit how often passes can notify people, so AfroGems allows at most 3 notifying updates per pass in any 24 hours, and field-change alerts only close to the event. Updates must be about the ticket or event.
7. Your responsibilities to attendees
You are responsible for your event: its content, safety, entry rules, refunds and cancellations. If you cancel or change an event, tell attendees through AfroGems so their passes update, and handle refunds in line with your published policy and the law. If you mark a ticket as refunded or cancelled, we update or void its pass.
8. Fees
Our fee is charged per ticket issued, in bands per event (like tax bands): each ticket is charged at the rate of the band it falls in.
| Tickets in the event | Fee per ticket in that band |
|---|---|
| 1 to 500 | ₦50 |
| 501 to 2,000 | ₦45 |
| 2,001 to 10,000 | ₦40 |
| 10,001 to 50,000 | ₦30 |
| Over 50,000 | ₦25, or an annual agreement |
For example, an event with 600 tickets costs 500 × ₦50 plus 100 × ₦45 = ₦29,500. Optional extras, such as SMS delivery, are shown with their price before you switch them on. Fees exclude VAT, which is added where it applies.
- Tickets sold through AfroGems checkout: our fee is taken automatically from each sale as a split payment. The payment provider's own charges come out of your share.
- Tickets you sold elsewhere and uploaded: we invoice you monthly. Invoices are due within 14 days.
We will give you at least 30 days' notice of any fee increase. Changes never apply to tickets already issued.
9. Payments
Payments are processed by Paystack or Flutterwave under their own terms. Sale proceeds go to your own payout account with them, not to AfroGems. We never ask for your Paystack or Flutterwave passwords or secret keys. Chargebacks, disputes and refunds of ticket prices are between you, the buyer and the payment provider; we will give you the records we hold to help.
10. Your attendees' data
You are the data controller for your attendees' personal data, and AfroGems processes it on your behalf. You must have a lawful basis to share it with us and must tell attendees how you use it. We will:
- use attendee data only to provide AfroGems to you and as described in our privacy policy;
- keep it secure and confidential, and only let authorised staff access it;
- use only the providers listed in our privacy policy, under contracts with equivalent protections, and tell you before adding new ones;
- help you respond to requests from attendees and to any data breach, and tell you without undue delay if we become aware of a breach affecting your data;
- delete your attendee data 12 months after your event, or sooner if you ask or close your account (apart from records we must keep by law); and
- give you the information you reasonably need to show you are complying with data protection law.
You can delete your data at any time with "Disconnect and delete my data" in your account.
11. Intellectual property
You keep all rights in your event names, logos and content, and give us permission to use them to create, display and deliver your passes. AfroGems, its software and its brand remain ours.
12. Suspension and ending these terms
You can close your account at any time. We may suspend passes or your account if you break these terms, if Apple, Google or a payment provider requires it, or to protect attendees from fraud or harm. Where we can, we will tell you first and give you the chance to put things right. Fees for tickets already issued remain payable.
13. Our liability
We provide AfroGems with reasonable care and skill. We are not responsible for your event, for Apple, Google, payment or mobile network outages outside our control, or for indirect losses such as lost profits. Our total liability to you in any 12 months is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
You are responsible for claims made against us that arise from your event, your content, or your breach of these terms or of data protection law.
14. Changes to these terms
We may update these terms as the service develops. We will email you about material changes at least 30 days before they take effect. If you keep using AfroGems after that, the new terms apply.
15. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If we have a disagreement, we will first try to resolve it with you directly. If that doesn't work, the courts of Nigeria will decide it.
